Our total liability to you for any claims arising from or relating to these Terms or our services shall not exceed the amount paid by you to alphacnhqt in the twelve months preceding the claim.

These limitations apply regardless of the theory of liability, whether based on warranty, contract, tort, or any other legal theory, and whether or not alphacnhqt has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless alphacnhqt Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to your use of our services, violation of these Terms, or infringement of any rights of another party.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Cyprus.

If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence.

Termination

Either party may terminate these Terms and your access to our services at any time, with or without cause, by providing written notice to the other party. Specific termination provisions may be outlined in your service agreement.

Upon termination:

• Your right to access and use our services will immediately cease
• We will provide you with access to export your data for a reasonable period
• You remain liable for any outstanding fees or charges
• Provisions that by their nature should survive termination will continue to apply

Dispute Resolution

We encourage you to contact us directly to resolve any disputes or concerns. If a dispute cannot be resolved through direct communication, it shall be resolved through binding arbitration in accordance with Cyprus arbitration law, unless otherwise specified in your service agreement.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and alphacnhqt regarding your use of our services and supersede all prior communications and proposals.
